MASSACHUSETTS CONFERENCE OF THE UNITED CHURCH OF CHRIST

BYLAWS

Article I PURPOSE AND DEFINITIONS

1 . The purpose of the Massachusetts Conference of the United Church of Christ as stated in its charter (1799) is "diffusing the knowledge of the Gospel of Jesus Christ ... and in concert with other ecclesiastical bodies for the general increase of Christian union and spiritual efficiency and the advancement of Christ's Kingdom on earth."

2. The local church is the basic unit of the life and organization of the United Church of Christ. It is autonomous and has the power of self-determination in all matters.

3. An Association is composed of all local churches in a geographical section of the Conference, of all ordained ministers holding standing therein, of all commissioned ministers of that Association, and of those licensed ministers who have been granted voting membership in that Association.

An Association may include Congregational Christian churches which are not part of the United Church of Christ, yet are in voluntary fellowship with and are recognized by the Association.

4. The name of this corporation is the Massachusetts Conference of the United Church of Christ, herein referred to as the "Conference." The Conference is that body of the United Church of Christ which is composed of all local churches in a geographical area, all ordained ministers holding standing in its Associations, all commissioned ministers in its Associations, and those licensed ministers who have been granted voting membership in its Associations.

It joins with other Conferences and agencies of the United Church of Christ for the advancement of God's work in this world.

5 . An Area is established by the Board of Directors and is composed of an Association or Associations informally grouped together for the convenience of the Conference.

Article II DENOMINATIONAL BASIS

Following Congregational principles, this Conference shall under no circumstances exercise authority over churches or individuals or interfere with the government or discipline of the churches. It shall advise and counsel the churches when requested but it is recognized that each church has the power of self- determination in all matters.

Article in DOCTRINAL BASIS

This Conference declares its steadfast allegiance to the faith which our forebears confessed, which, from age to age, has found its expression in the historic creeds of the Church Universal and of this Communion.

Article IV CONFERENCE MEETINGS

1. Conference Meeting Membership

A. When this Conference meets, its voting membership shall consist of the following:

* delegates from each local church, for a term of one year. The number of delegates from each church is determined by the number of its members as of the preceding December 31. Churches with a membership of 300 or less shall have two delegates; 301- to 600- member churches shall have three delegates; 601- to 900- member churches shall have four delegates; 901- to 1200- member churches shall have five delegates; 1201- to 1500- member churches shall have six delegates; 1501- to 1800- member churches shall have seven delegates;

* officers of the Conference;

* members of the Board of Directors;

* members of Conference Committees and Commissions mentioned in the bylaws;

* persons who are ordained and hold standing in an Association of this Conference;

* persons who are commissioned and licensed ministers who have been granted voting membership in an Association of this Conference.

B. Associate members with the privilege of speaking but without vote shall consist of the following:

* the Moderator of each Association;

* Associate Conference Ministers;

* the President of the Massachusetts Women's Fellowship;

* presidents of mission and aid societies related to the Conference.

C. Honorary members with the privilege of speaking but without vote shall consist of the following:

* delegates from corresponding bodies;

* persons appointed to speak before the Conference;

* persons made honorary members by vote of the Conference.

2. Annual Meeting

The Annual Meeting of the Conference shall be held between April 1 and June 30, as the Board of Directors shall decide. The business to be conducted at the Annual Meeting shall include the election of officers, other members of the Board of Directors and Committees, Commission members and Delegates and Alternates to the General Synod; the presentation of reports; the determination of the annual rate of Fellowship Dues and the proportion to be retained from Our Church's Wider Mission giving of the churches; the adoption of a budget for the next fiscal year; and the transaction of any other business that may properly come before the meeting. Notice of the time, place, and general business of the meeting, including the budget and Treasurer's report, shall be mailed not later than one month prior to the meeting to each church, in sufficient quantity for its voting members, and also mailed to all other members of the Conference.

3. Special Meetings

Special meetings of the Conference may be called by the Board of Directors. Special meetings of the Conference shall be called by the Board upon written request, specifying the purpose of the meeting, from no fewer than one-hundred (100) persons who are voting members of the Conference, as defined, and who shall represent at least fifty (50) churches from the five Areas of the Conference. The meeting so requested shall be held within two months of the receipt of the completed petition unless an already scheduled meeting will be held within four months.

No action shall be taken at any special meeting on business not specified in the notice for such meeting. Written notice of the time, place, and purpose of the meeting shall be mailed at least three weeks before the meeting to each church, in sufficient quantity for its voting members, and also mailed to all other voting members.

4. Quorum

The quorum shall consist of two-hundred (200) members, providing that each Association is represented by at least two churches.

5. Voting Procedures

Each Conference member present in person shall be entitled to one vote. Uncontested elections may be by voice vote or other means; contested elections shall be by ballot; a plurality of votes shall elect.

6. Annual Meeting Committees

A. The Nominating Committee

(1) Composition — There shall be a nominating committee of the Conference consisting of eighteen (18) members. The membership of the committee shall be representative of the Conference with not less than one-half being lay persons.

(2) Method of Election; Term; Vacancies — The Board of Directors shall present to the Conference at its Annual Meeting nominations for membership to the Nominating Committee. Members of the Nominating Committee shall serve three-year terms, with six members elected by the Conference at each Annual Meeting. Past members of the Nominating Committee shall not be eligible for re-election to the Nominating Committee for a period of one year following their completion of a term. Vacancies in the Nominating Committee shall be filled by the Board of Directors until the next Annual Meeting of the Conference.

(3) Selection and Term of Chair ~ The chair shall be appointed by the President from among the committee members for a term of one year.

(4) Quorum ~ a majority of the members of the committee must be present in person to constitute a quorum for the transaction of business.

(5) Responsibilities ~ The committee shall present to the Conference at its Annual Meeting a single slate of nominees for Moderator and Vice-Moderator, members-at-large of the Board of Directors, members of the Annual Meeting Planning Committee and Commissions and General Synod Delegates and Alternates, and shall include nominees to fill vacancies occurring in any of these positions.

Nominees for positions on the Board of Directors, the Commissions, the Annual Meeting Planning Committee, and Delegates and Alternates to General Synod shall be from all Areas of the Conference and of different ages and races. Each group shall be at least 40% of each gender, and at least 50% shall be laypersons.

Nominations may be made from the floor at the Annual Meeting, provided the eligibility of the individuals so nominated has been established and is in accordance with these bylaws, and the written consent of such individuals has been secured and submitted to the Nominating Committee at the meeting.

Associations are encouraged to make suggestions of nominees for all positions but most specifically for delegates and alternates for General Synod, who must meet the criteria in the Bylaws of the United Church of Christ.

B. The Annual Meeting Planning Committee

The Annual Meeting Planning Committee shall consist of the Moderator, the Vice Moderator, and fifteen (15) elected members, five of whom shall be elected each year for a term of three years. This committee shall plan the program for each meeting of the Conference.

C. The Business Committee

The Business Committee shall consist of members appointed by the Moderator from the membership of the Board of Directors and of the Annual Meeting Planning Committee. This committee shall prepare the agenda for business sessions, recommend changes during meetings, and in general expedite the business of Conference meetings. The Vice Moderator shall serve as the chair of the committee.

D. The Credentials Committee

At least one week before the opening of a Conference meeting, the Secretary shall appoint members of the Credentials Committee. The Secretary shall serve as chair. The committee shall be responsible for the resolution of issues relating to the eligibility of members of the Conference meetings. Decisions of this committee shall be final and binding for the meeting for which it was formed.

Article V OFFICERS

1. Number and Title

The officers of the Conference shall be the Minister and President, Secretary, Treasurer, Moderator, Vice-Moderator, and such other officers as the Conference may elect.

2. Election, Terms, Vacancies

The officers shall be elected by members of the Conference for a term of one year or until their successors are elected. A vacancy among the officers, other than that of Minister and President, shall be filled by the Board of Directors until the next Annual Meeting or until a successor is elected. No officer, with the exception of the Minister and President, shall serve more than six terms.

In the case of a vacancy in the office of Minister and President, the Board of Directors shall appoint a search committee to nominate a candidate for election at the Annual Meeting. The Board shall appoint an interim Minister and President to serve until a candidate is elected by the Conference. While the interim Minister and President is being selected, the Board will make arrangements for carrying out the duties of this office.

3. Removal

An elected officer may be removed by an affinnative vote of two-thirds of the total membership of the Board of Directors.

4. Duties

The duties of the officers shall be as follows:

A. The Minister and President shall be the chief corporate and executive officer of the Conference and shall, subject to the direction of the Conference and the Board of Directors, have general charge of its mission and activities. The Minister and President shall be an ex-officio member of the Annual Meeting Planning, Business, and Credentials Committees of the Conference. The Minister and President shall be the representative of the Conference among all the churches and in denominational and ecumenical bodies. The Minister and President shall direct the staff and employ and release all non-appointed employees in accordance with procedures adopted by the Board of Directors.

B. The Secretary shall be chair of the Credentials Committee and shall carry other duties as are usual to this office and shall exercise such other powers and perform such other duties as may be assigned by the Minister and President or the Board of Directors.

C. The Treasurer shall be responsible for seeing that all monies of the Conference are received, held in custody and disbursed as authorized; that accurate accounts of monies received and paid out are kept; and that financial statements and reports are prepared and issued. The Treasurer shall exercise the powers and perform such other duties usually incident to the office of treasurer and shall exercise such other powers and perform such other duties as may be assigned by the Minister and President or Board of Directors. Any Assistant shall perform such duties as may be assigned by the Treasurer or the Minister and President in the absence or incapacity of the Treasurer.

D. The Moderator or, in the absence of the Moderator, the Vice-Moderator, shall preside at all meetings of the Conference. In the absence of both a Moderator and a Vice-Moderator, a member of the Board of Directors shall call the meeting to order and conduct the election of a Moderator Pro Tempore.

Article VI BOARD OF DIRECTORS

1. Responsibilities

The corporate business and affairs of the Conference shall be under the direction of the Board of Directors. Except as may be otherwise provided in these Bylaws or the Articles of Incorporation, the Board shall have and may exercise all the powers of the Conference between meetings of the Conference, and actions taken shall be reported to the next Annual Meeting.

Relying on the help of God, the Board of Directors:

A. shall have general responsibility for the development and implementation of the Conference's policy, program, and budget;

B. shall appoint Associate Conference Ministers and approve the outline of their duties;

C. shall nominate the Minister and President, Secretary, and Treasurer;

D. shall nominate members of the Conference Nominating Committee;

E. shall fill vacancies in any office or committee of the Conference including vacancies in the membership of the Board until the next Annual Meeting of the Conference or until successors are elected;

F. may remove any director or officer of the Conference by a two-thirds affirmative vote of its total membership;

G. may remove any Associate Conference Minister upon the recommendation of the Minister and President.

2. Composition

The Board of Directors shall consist of the officers of the Conference and sixteen (16) members-at- large. The members-at-large shall be nominated so that each Association is represented by at least one director and no Area has fewer than three directors.

3. Election, Term and Vacancies

The members-at-large shall be elected by the Conference for a term of four years, and shall serve for no more than one term without a lapse of one year. The term of office of approximately one-fourth of the members-at-large shall expire at each annual meeting of the Conference. Regardless of the number of consecutive years any person shall have served as a member-at-large, such person shall be eligible to be member of the Board when serving as an officer. The Board elects its own chair and vice-chair.

4. Meetings

Regular meetings of the Board shall be held at times and places as may be determined by the Board, except that the Board shall meet no fewer than five times each year. Notice of time, place and purposes of the meeting shall be mailed to each Board member not fewer than five days before the meeting.

Special meetings of the Board may be called by the chair. Special meetings of the Board must be called by the chair upon written request of a majority of the Board members. If the chair fails to call such a specially requested meeting, the secretary shall call the same. The purpose of such meetings shall be stated with the request, and no other business shall be transacted except that for which the meeting has been called. Notice of time, place, and purpose of the meeting shall be given by mail or telephone to each Board member not fewer than three days before the meeting.

5. Quorum

A majority of the members of the Board shall be present in person to constitute a quorum.

6. Board Committees

A. Establishment

The Board of Directors may establish such long-term and short-term committees as it deems necessary.

B. Appointment and Terms of Chairs

The chair of Board Committees shall be appointed by the chair of the Board for a specified period of time or until the work of the committee has been completed.

C. Appointment and Term of Members

Committee members shall be appointed by the chair of the Board after consultation with the chair of the respective committee and subject to the approval of the Board of Directors, for a term of one year.

Article VII CONFERENCE PROGRAM

1. Program Commissions

A. Composition

There shall be program commissions consisting of six to sixteen members each. The Minister and President shall assign staff to work with each commission. The number, titles and sizes of the commissions shall be established from time to time at a Conference Meeting upon recommendation of the Board of Directors.

B. Election, term, and vacancies

Members of commissions shall be elected by the Conference for a term of three years with one third of the members' terms expiring each year. Members may serve no more than one full term without the lapse of one year between terms. Vacancies in commissions shall be filled by the Board of Directors until the next Annual Meeting of the Conference or until successors are elected.

C. Selection and term of chair

Each commission shall elect its chair from among its members. The term shall be one year with re-election possible.

D. Quorum

A majority of the members of the commission shall be present in person to constitute a quorum for the transaction of business.

E. Responsibilities

The program commissions are responsible for seeing that basic, broad strategies assigned by the Board of Directors are carried out within guidelines and budget adopted by the Board of Directors and the Annual Meeting.

2. Program Assembly

A. Composition

Members of the Assembly shall include:

* the moderators of each Association and of the Conference;

* thirty members elected or appointed by the Associations; the number allocated to each Association shall be on the basis of church membership;

* one member of each program commission;

* the Conference Minister and President.

One member of the Board of Directors and all Associate Conference Ministers are members of the assembly ex officio with voice, but without vote.

B. Convener

The Conference Moderator or Vice Moderator shall convene the Assembly and preside.

C. Meetings

The Assembly shall meet at least every third year upon the call of a Conference Moderator.

D. Responsibilities

The Assembly shall consider and rank the program directions of the Conference. A report of the proposed Conference goals and basic strategies shall be given to the Board of Directors which shall use them in overseeing the development and implementation of Conference programs. The Board of Directors shall present to the Annual Meeting a statement of the goals and basic strategies of the Conference in conjunction with the proposed annual budget.

Article VIII TERMS OF OFFICE AND ELIGIBILITY

All terms shall begin at the close of the Annual Meeting. One-half or more of an unexpired term shall constitute one full term for the purpose of determining eligibility to serve additional terms.

All officers and members of the Board of Directors, Conference Committees, and Commissions may serve only while a member of a church that has standing in an Association of the Conference.

Any person elected to the Board of Directors or to any Committee or Commissions of the Conference who shall fail to attend three consecutive regular meetings without an explanation of absence shall be considered to have resigned. Whoever is nominated to the Board of Directors or to any Committee or Commission of the Conference on the basis of church membership in one of the five Areas of the state shall be considered to have resigned if, during the term of office, the person transfers his or her church membership out of that Area.

Article DC FINANCE

1. Budget

At each Annual Meeting, the Conference shall adopt a budget of estimated income and expenditures for the next fiscal year.

Changes to the proposed budget will be considered at an Annual Meeting only if a written proposal outlining the desired changes to the proposed budget and signed by at least five members of the Annual Meeting has been filed with the Treasurer at least two weeks prior to the date of the Annual Meeting. However, changes to the proposed budget may be considered at the Annual Meeting if two-thirds of the delegates present vote to consider such proposal.

2. Retention Rate and Fellowship Dues

The rate of Fellowship Dues and the portion to be retained from Our Church's Wider Mission for the next fiscal year shall be established by vote of the Annual Meeting approving the Conference's budget. The amount of the Fellowship Dues and the retention rate so established shall be for an entire year and shall not be changed until the next Annual Meeting of the Conference.

3. Fiscal Year

The calendar year shall be the fiscal year of the Conference.

4. Financial Report

A summary report of the financial operations of the Conference shall be printed in the Conference Yearbook.

5. Corporate Assets

The Board of Directors shall manage all of the business affairs of the Conference. However, corporate assets, whether restricted monies or title to real property and whether one transaction or a series of related transactions, involving more than an aggregate of $250,000 shall be disbursed or conveyed only by a vote of the Conference. This limitation shall not conflict with or limit the provisions of gifts, bequests, or other donations to the Conference. However, the Board of Directors may create and manage special fiinds to receive gifts for special purposes of the Conference.

6. Audits

A certified public accountant shall be retained by the Board of Directors to make an annual examination of the financial accounts of the corporation. A report of all examinations shall be submitted to the Board of Directors.

7. Indemnification

No officer, director, or staff member of the Conference shall be personally liable to the Conference or its members for monetary damages for breach of fiduciary duty as an officer, director, or staff member, provided, however, that this provision shall in no way be construed to eliminate or limit the liability of an officer, director, or staff member (A) for any breach of his or her duty of loyalty to the

Conference or its members, (B) for acts or omissions not in good faith or involving intentional misconduct or a knowing violation of law, or (C) for any transaction from which the officer, director, or staff person derived an improper personal benefit.

8. Dissolution

In the event of the dissolution or final liquidation of the Conference, after all liabilities and obligations of the Conference have been paid, satisfied or discharged, or adequate provisions have been made therefor, all remaining property and assets of the Conference shall be distributed to such organization or organizations affiliated with the United Church of Christ as may be designated by the Executive Council of the United Church of Christ.

Article X MASSACHUSETTS WOMEN'S FELLOWSHIP

The Massachusetts Women's Fellowship, United Church of Christ, is an auxiliary organization of the Conference established to undergird the program of the Conference and its churches by (1) encouraging women to grow to full stature as mature Christians; (2) enlisting women in a closer fellowship of Christian love; and (3) encouraging the participation of women in the life and work of the whole church. The Fellowship shall organize itself and set its own rules, providing they are not in conflict with these Bylaws.

Article XI BOARD OF MINISTERIAL AID

The Board of Ministerial Aid shall be the agent of the Conference in the work of aiding needy ministers and their families and shall make an annual report to the Conference. On notice of a vacancy in the membership of the Board of Ministerial Aid, the Board of Directors shall nominate a person to fill the vacancy.

Article XII BOSTON SEAMAN'S FRIEND SOCIETY

The Boston Seaman's Friend Society shall be the agent of the Conference in the work of promoting the spiritual and temporal welfare of seafarers and shall make an annual report to the Conference. Each year the Board of Directors shall confirm the nominations of five persons to serve three year terms as corporate members of the Society.

Article XIII PARLIAMENTARY AUTHORITY

Robert's Rules of Order, in its most recent revision, shall be the parliamentary authority governing the meetings of the Conference, the Board of Directors and committees, subject to the laws of the Commonwealth, the articles of incorporation and these Bylaws.

Article XIV AMENDMENTS

These Bylaws may be amended by a vote of two-thirds of the members of the Conference present and voting at any meeting of the Conference provided that the proposed amendment shall have been included in the notice of the meeting, and provided the proposed amendment shall have been recommended by the Board of Directors or proposed at a previous Conference meeting.

of the

MASSACHUSETTS CONFERENCE OF THE UNITED CHURCH OF CHRIST

June 12, 13, 14, 1992 South Hadley, Massachusetts

Opening worship of the 193rd Annual Meeting of the Massachusetts Conference of the United Church of Christ began at 1:30 PM on Friday, June 12, 1992, in the Richard Glenn Gettell Amphitheater at Mount Holyoke College, South Hadley, Massachusetts. The theme of the meeting was "Being Christian in a Changing World" and the Rev. Ms. Susan Davies preached a sermon entitled "Bom Anew in the Spirit and Water," based on John 3:1-10.

The first plenary session was called to order at 3:00 PM in Chapin Auditorium of Woolley Hall by the Rev. Mr. Terry O. Martinson, Moderator. After welcoming the delegates and giving an overview of the purpose of the Annual Meeting, Mr. Martinson announced his appointment of the Business committee in accordance with the Bylaws: Ms. Laurel Baumer; Dr. Joyce Gibson; Mr. John Ober; the Rev. Mr. Keimeth Powell; and Ms. Marian Irving, Chair.

The Moderator introduced the Credentials Committee, consisting of Ms. Nancy MacLeod, Chair; Mr. Charles Opdycke; and the Rev. Mr. William Baran. He then called upon Ms. MacLeod, who reported for the Committee that there were 525 delegates, 253 clergy, 8 ex officio, 6 commissioned and/or licensed ministers, 104 visitors and 69 others present for a total of 965 registered for the meeting.

As there were more than 200 delegates in attendance, the Moderator declared a quorum present. He then announced his appointment of the ushers as tellers and reported that they were being coordinated by the Rev. Dr. Donald Simpson and Ms. Elizabeth Simpson.

The Moderator introduced the Parliamentarian, the Rev. Mr. Edward Walker; the timekeepers. Dr. Joyce Gibson and the Rev. Mr. Kenneth Powell; and the Recorder, Ms. Joanne Bickford. Ms. Patricia Pepper, Chair of the Annual Meeting Planning Committee, presented the Proposed Standing Rules and called attention to the changes recommended by the Planning Committee. It was moved, seconded, and voted that "The 193rd Annual Meeting adopts the Standing Rules as printed."

The Moderator then called on Ms. Pepper to present the Proposed Order of Time and Events. It was moved, seconded, and voted that "the 193rd Annual Meeting adopts the Proposed Order of Time and Events as printed."

The Moderator introduced the Rev. Mr. Bennie E. Whiten, Jr., Conference Minister and President, who presented his proposed list of honorary delegates to the meeting. It was moved, seconded, and voted that "the 193rd Annual Meeting designates the following persons as honorary delegates with voice, but not vote: Dr. Ruy Costa, the Rev. Ms. Susan Davies, Ms. Ann Feaver, the Rev. Mr. Leonardo Gajardo, the Rev. Mr. Ulises Munoz, the Rev. Mr. David Ruhe, the Rev. Dr. David Shannon, and the Rev. Dr. Kenneth Smith."

After noting the Secretary's Report, the Moderator introduced the Rev. Mr. Robert Fenby, Chair of the Nominating Committee. Mr. Fenby announced that 91 persons were being nominated for positions within the Conference. He explained the procedure necessary to place additional names in nomination.

Mr. Powell, reporting for the Annual Meeting Planning Committee, explained the hearing process for resolutions and the budget to the Annual Meeting. He announced that these hearings would occur immediately following the present plenary session. Mr. Robert Adams, song leader for the 193rd Annual Meeting, was introduced and led the assembly in a song break.

The Moderator introduced the Rev. Dr. William McKinney, Dean and Professor of Religion and Society at Hartford Seminary, as the Annual Meeting's keynote speaker. Dr. McKinney shared with those gathered portions of correspondence between himself and members of the congregation of the Cliftondale Congregational Church, UCC, in Saugus. The correspondence addressed issues surrounding the ultimate decision of the congregation to leave the United Church of Christ. Dr. McKinney had urged the church to stay within the denomination and continue dialogue about the points of disagreement. He lifted up the need for divergent opinions to be heard and honored for their truth and integrity. A question and answer period followed Dr. McKinney's address.

After announcements, Ms. Marian Irving, Vice Moderator, recessed the meeting for hearings and called participants to return to plenary session at 7:45 PM.

The evening plenary session was called to order at 7:45 PM by the Vice Moderator, who moderated the speakouts.

The Moderator called upon Ms. Joan Vander Vliet, chair of the Mission Partnership Steering Committee, who in turn introduced the Rev. Mr. Ulises Munoz, President of the Pentecostal Church of Chile; the Rev. Mr. Leonardo Gajardo, pastor of a church in San Berbardo, Chile; and Ms. Miriam Hernandez Jennings, a member of the Steering Committee who was acting as translator. Ms. Vander Vliet reviewed the activities of the Steering Committee over the past year and introduced an audiovisual presentation about the Pentecostal Church of Chile. Mr. Munoz brought greeting to the Massachusetts Conference from the church in Chile and presented Mr. Whiten with a gift. The assembly joined in singing a Chilean song.

Mr. John Ober, Chair of the Board of Directors, was introduced. In his report, Mr. Ober reviewed some of the ongoing activities of the Conference. He lifted up several events or programs that were significant in each Area and Commission and praised Mr. Whiten's leadership during the past year. He acknowledged that the fmancial situation of the Conference had caused the year to be a stressful time for the staff and the Board of Directors. He commended the work of the Board on budgetary matters to the Annual Meeting and explained that without the downsizing that had been done a special vole would have been needed in order to spend large portions of the endowment funds to cover the deficits.

The Moderator introduced Mr. Sydney Neal, Treasurer of the Conference, who gave his report. Mr. Neal told the assembly that his goals as Treasurer had been to improve the flow of financial information and to empower the Board of Directors to act on financial matters. In recent history, there has been a trend toward a smaller and smaller staff. As some staff have left, those who have remained have increased their duties and responded well to more responsibility. Mr. Neal informed the Annual Meeting that the Board of Directors had presented a balanced budget for approval, but that budget included only a 3.5% increase in personnel costs for a staff that is currently working under a salary and benefits freeze. He suggested that there were only two ways of correcting the tendency of the Conference towards shrinkage: to increase the monies received or to reduce expectations of programming needs. He urged delegates to return to their local churches and work towards increasing the giving to Our Church's Wider Mission Basic Support.

Mr. Neal commended Ms. Susannah Baker, Associate Conference Minister for Policy and Administration, who has reduced spending in real dollars over the amount spent five years ago for Institutional Life through carefiil office management. She also worked diligently to keep the Conference running smoothly during the recent transition period. Mr. Neal also expressed his praise for Ms. Fely Yuson, the Conference's bookkeeper, who carried out the entire accounting procedure during the recent maternity leave of the Business Manager. He asked that these commendations be included in the minutes.

The Moderator called upon the Rev. Ms. Diana Augspurger for a presentation of a statement from the Commission for Education Ministries. Ms. Augspurger related the commission's grief and shock at the elimination of the position of Associate Conference Minister for Christian Education. She assured the meeting that the commission was ready to go forward with their work in providing educational programming and support to local churches. The timely resolution submitted by the commission was read and Ms. Augspurger stated that commission members were not supporting any other resolution or amendment that might come before the meeting with regard to Christian education.

After a song break, Ms. Laurel Baumer, vice chair of the Annual Meeting Planning Committee offered a theological reflection on the perspective of a Christian lay person in a changing world.

Members of the Commission for Leadership Development presented a paper the commission had developed on Ministry in Everyday Life. Annual Meeting participants were asked to read, share, discuss, and respond to this statement. After announcements, the Moderator recessed the meeting until 8:30 AM on Saturday, June 13, 1992.

Saturday, June 13, 1992

The Vice Moderator called the meeting to order at 8:30 AM and called upon the Rev. Mr. David Ruhe, Moderator of the United Church of Christ, to offer the opening prayer. Speakouts were heard. The Moderator called upon Mr. Powell to present the results of the resolutions hearings. The managers of the hearings reported on the findings of those meetings. Mr. Powell asked clergy and delegates to indicate their order of preference on the Resolution Poll.

The Rev. Mr. Malcolm Bertram, manager of the budget hearing presented the results of that meeting. The Rev. Mr. Kent Allen, Chair of the Board's Goal Development and Resource Allocation Committee; Ms. Jeannette Boynton, Chair of the Board's Resource Development and Management Committee; and the Rev. Mr. Stephen Gray, Associate Conference Minister for Stewardship and Financial Development, presented the budget proposals for 1993. Tliese proposals reflected the recent downsizing mandated by the Board

of Directors and a level funding of other staffing and programming at the 1991 levels. Churches were challenged to increase their giving to Our Church's Wider Mission Basic Support in order to support increased progranmiing and staffmg at the Conference level.

The Moderator called upon the Rev. Mr. William Baran who presented Mr. Whiten with a check for $2,000 from the Barnstable Association. These funds were given for unrestricted use in recognition of the current fmancial situation of the Conference and the covenantal relationship between the Association and the Conference.

Mr. Joseph Murphy, Chair of the Growth Committee at First Congregational Church, UCC, in Marshfield, offered a theological reflection on church growth and change. The Rev. Mr. Paul Nickerson, Chair of the Evangelism and Church Growth Task Force, then presented a report from that conunittee. During 1991 , 123 churches in the Massachusetts Conference grew by 2% or more.

The Moderator called Mr. Whiten forward to narrate an audiovisual introduction to the staff of the Massachusetts Conference. The presentation was followed by a song break.

Ms. Nanette Geertz, Chair of the Commission for Education Ministries, announced the names of Partners in Education graduates and of persons who were newly certified educators through the United Church Board for Homeland Ministries. She then presented the 1992 Outstanding Educator Awards to Ms. Carolyn Holland and Ms. Ester Zeimetz.

Mr. Whiten addressed the Annual Meeting, introducing his family and giving his report on the Conference. He spoke of the many changes in the world during the past year and of the changes within the Conference. Mr. Whiten mentioned the many opportunities he had within that year to meet and speak with local congregations and groups of clergy and lay persons throughout the Conference. He spoke of agenda items that had not been accomplished and must be given priority during the coming year — the urban ministries strategy and the upcoming capital campaign of the United Church of Christ. In closing, Mr. Whiten expressed the belief that the church will survive the changes and move on to new works.

The Moderator read telegrams of congratulations that had been received for Mr. Whiten for the occasion of his installation.

Mr. Whiten honored those people who were celebrating 50 years of ordained ministry this year. The Rev. Mr. Carlos Avila, the Rev. Mr. John Erb, and the Rev. Mr. Howard McArthur were called forward to be recognized. Mr. Whiten also acknowledged the Rev. Mr. Bedros Baharian, the Rev. Mr. Paul Cross, the Rev. Mr. John Samuelson, the Rev. Mr. Robert Senior, and the Rev. Mr. Vaughn Shedd who could not be present. Mr. Whiten then recognized those people who had been ordained within the past year.

The Vice Moderator recognized those members of the Massachusetts Conference who serve on boards of national instrumentalities. The Rev. Mr. Eliot Howard invited delegates to attend afternoon workshops, all of which centered on the theme, "Being Christian in a Changing World." Following announcements, the Vice Moderator declared the Annual Meeting recessed until 3:30 PM.

The afternoon plenary session was called to order by the Vice Moderator. After speakouts, Mr. Powell came forward to present the results of the resolution poll. It was moved, seconded and voted that "The 193rd Annual meeting shall take up the resolutions in the order set by the poll."

The Moderator recognized Mr. Ober, who presented the slate of officers of the Conference. It was moved, seconded, and voted that

APPENDIX A RESOLUTION ON ENDING THE SILENCE AND

BREAKING THE CYCLE ON CHILD ABUSE

The sexual abuse of children has been an insidious presence in human societies since the beginning of recorded history.

Sexual abuse of children is a crime of significant magnitude: more than 27% of females and more than 16% of males in the U.S. have been or will be sexually abused before reaching the age of 18. Mor« than 90% of child victims are sexually abused by people they know, trust and love. The abuse usually takes place within victims' homes, churches, schools, day care centers, playgrounds and other familiar surroundings.

Sexual abuse is always harmful and often results in permanent psychological and physical damage to the child. Abuse ranges from the most heinous violence to subtle nuance; bofii create danger with long lasting damage. Perpetrators are often victims of abuse or suffer from other problems that demand professional attention.

The sexually abused are at risk of becoming abusers if the cycle is not broken with interventions such as counseling, identifying inappropriate sexual behavior and positive role models and the rebuilding of self- esteem, among other strategies.

Government agencies and programs are significantly underfiinded, therefore agencies like the Massachusetts Department of Social Services and the criminal justice system are often unable to protect and secure the rights of all children at risk.

The problems of sexual abuse are compounded by the lack of resources required to assure that safe habitats are available for children.

WHEREAS, the sexual abuse of children occurs among all ethnic, educational, occupational and socioeconomic groups; and

WHEREAS, children are not always able to defend themselves and are therefore powerless to resist their abusers; and

WHEREAS the sexual abuse of children has harmftil effects on society, secular and religious communities, and families; and

WHEREAS, the protection and well-being of all children is of the utmost importance to the United Church of Christ; and

WHEREAS, Jesus instructed all people not to hinder the way of children (Matthew 19:13).

THEREFORE BE IT RESOLVED that the 193rd Annual Meeting of the Massachusetts Conference of the United Church of Christ:

1 . Calls upon the Commission on Mission Development and Social Responsibility to support educational opportunities for congregations in the areas of pastoral care, Christian education and advocacy for child sexual abuse victims of any age, realizing that often childhood victims submerge their ordeal for many years and must confront it later in life, often with devastating eefects on their marriages, families and personal lives;

2. Encourages pastors to raise a prophetic voice about the issue of child sexual abuse;

3. Urges local churches to begin campaigns to end the silence by raising awareness about child sexual abuse in the appropriate forums within the church in frank but sensitive ways and to form liasons with the school systems, police departments, social service agencies and to advocate for the child through the court system;

4. Calls upon the members of the UCC to open their hearts and homes and offer hospitality to children who have been victimized or are at risk of sexual abuse, provide opportunity to confront the pain and guilt associated with the problem and begin the process of healing, and insure that children will receive treatment;

5. Urges local churches to provide safe havens for the abused wherein they can be protected from ftirther abuse, empowered to address the guilt and pain, and enabled to begin the process of healing;

6. Encourages immediate education of ail religious professionals concerning the Massachusetts Child Abuse Reporting Law (Chapter 288), the reporting procedures and clergy liability;

7. Calls upon the United Church Board for Homeland Ministries, the Coordinating Center for Women and other national instrumentalities and the appropriate Conference divisions to provide educational material about the problem and opportunity for further study, discussion and action;

8. APPENDIX B RESOLUTION ON CHILDREN AND HOLY COMMUNION

WHEREAS we baptize infants because we believe that God's gracious covenant is extended to adults and their children as well; and

WHEREAS the Book of Worship, UCC together with the Ecumenical Church affirms the Scriptural assertion that "Through baptism, Christians are brought into union with Christ, with each other and with the church of every time and place" (Romans 6:3ff; I Cor. 12:12-13; Ephesians 4:4-6; Galatians 3:27-29; Book of Worship, UCC p. 129; Baptism, Eucharist and Ministry, WCC Faith and Order Paper no 111, D.6); and WHEREAS, the sacrament of the Lord's Supper is a gift freely given by Christ to nourish the Church;

WHEREAS, the intention of inclusivity in the sacrament of Holy Communion is proclaimed in Jesus' words, repeated in the Communion liturgy, "Drink this, all of you" (Matthew 26:27); and

WHEREAS, Jesus commanded his disciples to "let the children come to me, and do not hinder them, for to such belongs the kingdom of heaven" (Matthew 19:14); and

WHEREAS, when children are included at the table, the body of Christ witnesses both to God's grace and the church's call to wholeness; and

WHEREAS the sacrament of Holy Communion, through its blend of tangible objects (bread and cup), visible acts. Word and Holy Spirit, dramatizes Christ's promise of forgiveness, nourishment and strength for children as well as adults;

THEREFORE BE IT RESOLVED, that the 193rd Annual Meeting of the Massachusetts Conference of the United Church of Christ encourages pastors, local church boards, committees, and parents, to reflect on and study this issue, to evaluate present practices, and consider introducing children to the sacrament of Holy Communion using their church's curriculum or the many resources available through the Massachusetts Conference, the United Church Board for Homeland Ministries, and other ecumenical curriculum resources.

APPENDIX C RESOLUTION ON THE DEPARTMENT OF SOCIAL SERVICES

WHEREAS Biblical tradition supports the concept of the integrity of family, from that of Adam and Eve, through the patriarchs, to the Holy Family; and

WHEREAS the church throughout the centuries, and to the present day, supports the sanctity of the family, without regard to race, religious beliefs, or income level; and

WHEREAS serious allegations have been made that the Department of Social Services of the Commonwealth of Massachusetts often fails to protect the family by failing to intervene in some cases of child and family need, by intervening in other cases where such intervention is unwise, unfair, or unnecessary, and by failing, in some cases, to follow its policy guidelines; and

WHEREAS part of these failures are caused by the Department of Social Services' lack of ftinds and lack of professional staff training to do its job properly;

THEREFORE BE IT RESOLVED that the 193 rd Annual Meeting urges the Commission for Mission Development and Social Responsibility to establish a task force on "the DSS, families and child abuse" so that fiirther work may be done on these issues.

APPENDIX D RESOLUTION AGAINST WAR AND ARMS

WHEREAS the United Church of Christ (UCC) is a community of Christians; and

WHEREAS Christians are followers of Jesus of Nazareth, called the Christ, the Annointed One; and

WHEREAS the teachings of Jesus in the four Gospels of the New Testament offer the supreme guidance for his followers; and

WHEREAS Jesus calls his followers to be peacemakers: "Blessed are the peacemakers" (Matthew 5:9); "Blessed are the merciful" (Matthew 5:7); and

WHEREAS Jesus calls his followers to nonviolence: "Ye have heard that it hath been said, an eye for an eye, and a tooth for a tooth: But I say unto you that ye resist not evil: but whosoever shall smite thee on thy right cheek, turn to him the other also" (Matthew 5:38,39); and

WHEREAS Jesus calls his followers to love and to forgive: "Love your enemies, do good to them which hate you" (Matthew 5:44); "Forgive us our debts, as we forgive our debtors" (Matthew 6:12); and

WHEREAS as followers of Jesus we are called to witness to our faith in his teachings: "If ye have faith as a grain of mustard seed, ye shall say unto this mountain, remove hence to yonder place; and it shall remove; and nothing shall be impossible unto you" (Matthew 17:20); and

WHEREAS as witnesses of our faith in the teachings of Jesus Christ the 15th General Synod of the UCC affirmed the UCC a Just Peace Church; and

WHEREAS the 1 8th General Synod of the UCC maintains that we have seen active nonviolence:

- in the witness of God through the life, death and resurrection of Jesus Christ

- in the witness, testimony and suffering of many in the church

- in non-violent movements for justice in the world

- demonstrated in the lives of such people as Chief Seattle , Mahatma Gandhi, Martin Luther King, Jr., and Dorothy Day*; and

WHEREAS the 18th General Synod of the UCC calls members of conferences, associations and congregations to understand:

- the environment of violence

- the plight of victims of violence

- the responsibility and accountability of those who knowingly or unknowingly are perpetrators or beneficiaries of violence

- the tradition and effectiveness of active nonviolence*; and

WHEREAS war is the supreme act of violence; and

WHEREAS all wars of any kind produce immeasurable suffering in human lives through death, pain, deprivation, and destruction of the environment;

THEREFORE BE IT RESOLVED that the 193rd Annual Meeting of the Massachusetts Conference of the UCC urges its members to stand against war and all sources of violence and urges individuals and groups to work to:

1 . eliminate the underlying economic and social factors which breed the conditions which lead to war;

2. eliminate war;

3. eliminate the production of and/or the use of military weapons of mass destruction such as nuclear weapons;

4. eliminate the production of and/or the use of conventional military warfare and/or so called low intensity conflicts or any other form of modem warfare;

5. eliminate the buying and/or selling of arms to any nation, group or individual by any nation, group or individual; and

6. eliminate supporting any group through the use of arms in any conflict anywhere in the world.

APPENDIX E RESOLUTION ON A CALL FOR

SOCIALLY RESPONSIBLE INVESTING

WHEREAS Christians are called (Micah 6:8) "to do justice, love kindness, and to walk humbly with your God," and by Jesus Christ (John 15:12) "to love one another as I have loved you"; and

WHEREAS the responsible use of our financial resources is one of the ways in which we do justice and kindness and show our love for one another; and

WHEREAS the manner in which we spend and invest money helps to shape the kind of society we live in and the kind of values that are found in it; and

WHEREAS the Sixth General Synod of the United Church of Christ (1967) established the principle that "social values and social justice ought to be given consideration together with security and yield in the investment of funds held by religious organizations"; and

WHEREAS the Seventeenth General Synod (1989), in affirming "the integrity of creation, justice and peace," voted to encourage member churches to invest their funds in socially responsible ways;

THEREFORE BE IT RESOLVED that the 193 rd Annual Meeting of the MassachusetU Conference of the United Church of Christ urges its members and its member churches to review their existing investments and savings with a view to placing their funds with companies whose policies and perfonnance are consistent with, or contribute significantly to, a Christian concern for social justice, peace, and environmental health.

We suggest that investment decisions be made with reference to the criteria of the United Church Board for World Ministries which preclude ownership in companies involved in the manufacturing of weapons, tobacco products, alcoholic beverages, or in trade with South Africa.

We further urge members and members churches, where possible, to consider investing in companies whose policies reflect a concern for justice and inclusiveness in the workplace and the marketplace, which practice good stewardship of the environment and which seek to foster economic and social justice in the United States and abroad; and

BE IT FURTHER RESOLVED that the 193rd Annual Meeting encourages churches to acquire and make use of the prospecti of the Massachusetts Congregational Fund and the United Church Foundation, because of their fiduciary advantages and their commitment to a policy of ethical and social investing; and

FURTHERMORE, that the Commission on Stewardship and Mission Interpretation of the Massachusetts Conference make available to churches information and advice to help them invest with institutions and projects that will have some direct impact in their local communities — e.g. the Institute for Conununity Economics (ICE), etc.

APPENDIX F GUIDELINES FOR CLERGY COMPENSATION 1993

(for use with Guidelines for Clergy Compensation booklet from the Conference Office)

The 193rd Annual Meeting of the Massachusetts Conference of the United Church of Christ, concerned with the growth of its churches and the compensation of its ordained leaders, commends the effort of the local churches in endeavoring to reach the goals recommended in Guidelines for Clergy Compensation 1992. These are minimum recommendations. They apply to all full-time pastors, associates and assistants.

The 193rd Annual meeting recommends that:

1 . churches pay a minimum entry-level cash salary of $19,050 for a full-time pastor and minimum salaries as listed below in B;'

2. churches not at the minimum salary work toward the minimum and also at improving C, D, and E, below;

3. churches reimburse fully all professional expenses;

4. churches already at or above the minimum and also providing for C through F give at least a cost-of- living increase and consider a merit increase.

5. the work schedule of local pastors be a maximum average of twelve units per week with no more than three evenings in any given week; in addition that pastors take off at least three consecutive days each month .^

A. CONSIDERATIONS FOR DETERMINING CLERGY COMPENSATION

While the ministry is a unique profession requiring special patterns of financial compensation, several overall factors can be considered in determining the level of support for clergy. The total compensation package could justly be comparable to the median income of the parish and perhaps be on a par with that of the local high school principal, showing consideration for years of service, special skills, and training and including annual cost-of-living increases. The federal lax structure is unique for clergy and the compensation package can be designated in a way to maximize the pastor's income.'

B. MINIMUM CASH SALARY

The minimum cash salary (not including housing and other expenses) ought to be as follows:

Therefore, if a pastor often years ordination/experience arrives at a congregation with 375 members, she or he should receive a base salary of not less than $22,040 (recognizing certain regional variations).

C. SOCIAL SECURITY ALLOWANCE

The church should provide an amount equal to at least one-half the effective self-employment SS tax liability of each clergyperson. This allowance is taxable income but will ease the burden of the big Social Security tax.

D.* HOUSING THAT PROVIDES:

1 . a furnishing allowance'*, all utilities, and an equity development plan for those living in a parsonage; OR

2. a housing allowance, including furnishings and utilities for those who rent or own their homes.

E. BENEFITS THAT PROVIDE:

1. a pension plan, with a church contribution of 14% of salary basis, which is (a) at least 130% of cash salary plus any furnishings allowance for those living in a parsonage, or (b) cash salary plus housing allowance for those with such allowance;

2. a family protection plan, including disability insurance, which is an additional 1 % of the base used for the annuity;

3. group life insurance which costs $50 per year;

4. medical and health insurance, plus dental care;

5. continuing education funding;

6. sabbatical education funding;

7. holiday and vacation time;

8. maternity /paternity paid leave (including adoption).

F. ALL PROFESSIONAL EXPENSES

The new tax law allows the deduction of business expenses only on Schedule A and any stated allowance for these items must be included in income. Most taxpayers no longer itemize since higher deductions are given to everyone. Therefore, it is important that churches reimburse, or pay directly, all of the costs which the pastor incurs for "doing business" for the church, so that the pastor is not paying income tax for church expense. Included, but not limited to:

1 . books and professional subscriptions;

2. professional memberships;

3. travel expenses and car allowance (church-owned car or travel reimbursement);

4. any other expenses incurred by the pastor and directly attributable to the exercise of ministry.

APPENDIX G RESOLUTION OF ECUMENICAL HERITAGE AND HOPE

WHEREAS the Massachusetts Council of Churches, an ecumenical partnership of sixteen Protestant denominations in the Commonwealth, is celebrating its 90th Anniversary in 1992; and

WHEREAS the forebears of the Massachusetts Conference of the United Church of Christ were founding members; and

WHEREAS through the Council, we participate in diverse programs and projects; and

WHEREAS through these means, here in this place we are responding to the prayer of Christ "that they all may be one ... so that the world may believe ..." (John 17:21);

THEREFORE BE IT RESOLVED that the 193rd Annual Meeting of the Massachusetts Conference of the United Church of Christ rejoices in the signs of Christian unity we already have achieved through the Massachusetts Council of Churches; and

BE IT FURTHER RESOLVED that the 193rd Annual Meeting recognizes how far we still must go to attain the unity Christ wills for our churches and for the world; and

BE IT FURTHER RESOLVED that the 193rd Annual Meeting reaffirms our church's commitment to the Council and to the LUND principle*, that churches should "act together in all matters except those in which deep differences of conviction compel them to act separately;" and

BE IT FURTHER RESOLVED that the 193rd Annual Meeting reaffirms and thanks all those in our denomination, clergy and laity, who represent us in the ecumenical arena; and

BE IT FURTHER RESOLVED that the 193rd Annual Meeting requests that local congregations highlight this celebration by: (1) sharing this resolution with their members; (2) publicizing special events marking the 90th Anniversary; (3) making use of the Council's resources — an anniversary video, a Speaker's Bureau — to expand understanding of our shared ecumenical ministry and mission; and (4) praying for reconciliation among our churches for the sake of the world.

APPENDIX H RESOLUTION ON CONCERNS OF THE COMMISSION FOR

EDUCATION MINISTRIES

WHEREAS the position of Associate Conference Minister for Education has been eliminated and the many facets of that job description have been divided up between already overworked Conference staff; and

WHEREAS the position of Administrative Assistant to the Associate Conference Minister for Education has been cut by ten hours, thus severely limiting support for educational ministries; and

WHEREAS these actions have the potential to hamper the effective administration of educational ministries of the Massachusetts Conference of the United Church of Christ as well as the wider church;

THEREFORE BE IT RESOLVED, that the Commission for Education Ministries form a task force composed of, but not limited to, representatives from the Commission for Education Ministries, the Board of Directors, the Association of United Church Educators in Massachusetts, the Camps and Conferences Committee and the Youth Council to address the future coordination of Christian education ministry in the Massachusetts Conference of the United Church of Christ, and report back to the next Annual Meeting.
